What should I consider on the rebuilding my car with 304,547 miles 325i BMW 4 door 1994 ?

I would recommend just changing the water pump and timing chain, if not already done. (You want to do them at the same time, trust me.) I'd only worry about a full rebuild if you're losing a significant amount of compression. My '87 325iS has nearly 500K miles, and runs like a top ... though I've lost a bit of compression on the 4th cylinder.
