I'm looking at an 04 G35 sedan with 140,000 for
5000.00 is it worth it and what problems do u think

I had an 03 coupe with the aero package and with 71K on it and I sold it for $8500. The price is ok for that mileage but with any 12 year old car you may have issues rubber bushings, motor mounts, etc.
